Terms and Conditions of Service

1. General information
These general terms govern the contractual relationship between OFFITIA (hereinafter, "the provider") and the user (hereinafter, "the client") who contracts the services offered through the website offitia.io.
By registering and using our services, you fully accept these terms. If you do not agree, please do not use the platform.
2. Service description
OFFITIA offers a SaaS (Software as a Service) platform for creating and managing quotes, invoices, and professional documents. Main features include:
- Creation of customizable quotes and invoices
- Client management and product/service catalog
- PDF document generation with custom branding
- Document delivery by email
- AI-assisted content generation
- Automatic invoice submission to the AEAT via Veri*Factu (for Spanish NIF holders on Pro and Business plans)
- Invoicing in Euro (EUR) aligned with EU VAT Directives and tax regimes across all 27 Member States
3. Plans and pricing
OFFITIA offers different subscription plans detailed on the website. Prices are shown excluding VAT and may be modified with 30 days notice. VAT will be added at the moment of issuing the corresponding invoice applying the rates in force at that time. Contracted plans have the following characteristics:
- Starter: Free, with basic features. No credit card required.
- Pro: Paid monthly or annual subscription with full features and certified Veri*Factu.
- Business: Paid monthly or annual subscription with advanced features, teams and eIDAS signatures.
3.1. Free Starter Plan and Regulatory Compliance (Veri*Factu):
The use of the "Free Starter Plan" allows the creation of up to five (5) monthly invoices in accordance with the ordinary Billing Regulations (Royal Decree 1619/2012, of November 30). The User accepts that this modality is valid only during the legal transitional period ending on December 31, 2026, pursuant to Royal Decree-Law 15/2025. This plan does NOT include the functionalities for electronic data submission to the Spanish Tax Agency (AEAT) or the generation of Veri*Factu QR codes. It is the User's sole responsibility to assess their tax obligations and migrate to a higher plan (Pro or Business) before January 1, 2027, to comply with Royal Decree 1007/2023. OFFITIA holds the software's Responsible Declaration certifying compliance with current regulations for its verifiable systems.
4. Contracting process
To contract a paid plan, the client must:
- Create a user account
- Select the desired plan on the pricing page
- Complete the payment process through Stripe
- Accept these terms and conditions
Once payment is made, the service is activated immediately.
5. Subscription and billing
Upon subscribing to a paid plan (Pro or Business), the first billing period (monthly or annual) is charged immediately through Stripe. The plan remains active until the renewal date.
The client may cancel the subscription at any time from the settings panel, and the service will remain active until the end of the current billing period. No refunds are made for unused periods. Upon cancellation, the account automatically reverts to the free Starter plan.
By accepting the subscription, the client expressly requests the immediate performance of the service and acknowledges that the service begins before the end of the 14-day withdrawal period, voluntarily waiving the right of withdrawal as recognized in Article 103(m) of Royal Legislative Decree 1/2007, approving the consolidated text of the General Law for the Defense of Consumers and Users (Spanish transposition of Directive 2011/83/EU).
6. Billing and payment
Payment is processed through Stripe, a secure payment platform. OFFITIA does not store credit card data. Billing is carried out as follows:
- Monthly plan: charged each month from the contracting date
- Annual plan: charged an annual reduced fee
Invoices are sent by email to the client.
7. Cancellation and refund
The client may cancel the subscription at any time from the settings panel. In case of cancellation:
- The service remains active until the end of the current billing period
- No refunds are made for unused periods
- Upon cancellation, the account automatically reverts to the free Starter plan
The provider reserves the right to cancel the service in case of breach of terms by the client.
8. User responsibilities
The user undertakes to:
- Use the platform in accordance with the law and these terms
- Not make fraudulent or abusive use of the service
- Maintain the confidentiality of their access credentials
- Not use the platform for illegal activities
- Provide truthful and up-to-date information
- Ensure their tax ID (NIF) is current and correct for Veri*Factu compliance (RD 1007/2023)
- Not reverse engineer, decompile, or disassemble the platform or any of its components
Credential Security and Management: Access to the platform is provided through personal and non-transferable credentials. The User bears sole responsibility for maintaining the confidentiality of their password, holding OFFITIA harmless from any unauthorized use by third parties.
To ensure account integrity, the password change system located in the settings (/settings - "Company Data") requires validation of the current password. The new password must meet the following minimum security requirements: eight (8) characters, including uppercase letters, lowercase letters, numbers, and symbols.
Furthermore, please be advised that for security reasons, the system will temporarily block access after five (5) failed attempts within a fifteen (15) minute interval to prevent brute-force attacks.
9. Provider liability
OFFITIA undertakes to keep the platform operational with a minimum monthly availability of 99% (SLA), excluding scheduled maintenance notified 48 hours in advance and force majeure events. Real-time system operational status, as well as communication regarding technical incidents and maintenance windows, are permanently available via the official portal https://status.offitia.io.
The provider is not liable for:
- Damages resulting from improper use of the platform by the user
- Data loss due to causes beyond the provider's control
- Service interruptions due to maintenance or force majeure
- The accuracy of fiscal or legal calculations generated by the platform
- The accuracy of optical character recognition (OCR) of uploaded receipts or tickets — the user is responsible for verifying the extracted data before use
- Duplicate detection of uploaded tickets is provided as a courtesy; it is the user's responsibility to ensure they do not upload the same ticket to multiple quotes
OFFITIA is a management tool and does not provide tax or legal advice. We recommend consulting a professional for specific cases.
Technical Maintenance and Telemetry: OFFITIA reserves the right to use third-party monitoring and telemetry tools, such as Sentry, to ensure service continuity, availability, and quality. The user agrees to the collection of technical diagnostic metadata in the event of system errors or incidents. This data will be processed solely for maintenance, security, and platform stability purposes, with the tool provider acting as a data processor under OFFITIA's documented instructions.
In any event, OFFITIA's liability is limited to the amount equivalent to the last 3 months of subscription fees actually paid by the client.
10. Document retention
OFFITIA does not act as a legal archive for the retention of quotes, invoices, or any other documents generated on the platform. The obligation to retain fiscal and accounting documents for the period established by applicable law (General Tax Law and Commercial Code) rests solely with the user.
OFFITIA provides the option to download documents in PDF format at any time, but does not guarantee their retention beyond the validity of the account. It is the user's responsibility to download and store their documents to comply with their legal obligations.
In the event of account cancellation, the user has 30 calendar days to export all their data and documents. After this period, OFFITIA reserves the right to permanently delete all data associated with the account.
11. Veri*Factu
Pro and Business plan users with a Spanish tax ID (NIF) accept that issued invoices will be automatically submitted to the AEAT through Verifacti in compliance with Veri*Factu regulations (RD 1007/2023).
OFFITIA is not liable for the correct or incorrect submission of invoices to the AEAT, nor for consequences arising from errors in the tax data provided by the user, nor for delays in processing by the AEAT's systems.
The user undertakes not to manipulate, alter, or interfere with the invoice submission process to Veri*Factu, and not to use the system for fraudulent activities or to breach applicable tax regulations.
12. Intellectual property and data ownership
The client retains all intellectual property rights and exclusive ownership over the content and data they create, store, or process through the platform (quotes, invoices, product catalogs, client data, etc.). OFFITIA claims no ownership rights over the user's data.
The OFFITIA platform and all its components (source code, design, brand, logos, interface) are the exclusive property of the provider and are protected by intellectual property law.
13. Data protection
The processing of personal data is governed by our Privacy Policy. By using the platform, the client undertakes to comply with applicable data protection regulations regarding the data of their own clients that they enter into the system.
14. Modifications to terms
OFFITIA reserves the right to modify these terms at any time. Substantial changes will be communicated to clients in advance. Continued use of the service after modifications implies acceptance of the new terms.
15. Dispute Resolution, Arbitration, and Class Action Waiver
These terms are governed by Spanish law. As a B2B commercial relationship (between professionals, freelancers, and businesses), any dispute or claim arising from the use of the platform or these terms will first be resolved amicably through direct communication at support@offitia.io within a maximum period of 30 days.
If an amicable agreement is not reached, the client agrees to submit the dispute to the exclusive jurisdiction of the Courts and Tribunals of OFFITIA SL's registered office (Figueres/Spain) or, where applicable, to commercial arbitration before a sole arbitrator, expressly waiving any other jurisdiction that may correspond.
Class Action Waiver: The client expressly waives any right to initiate, join, or participate as a plaintiff or class member in any class action, group lawsuit, or representative proceeding against OFFITIA SL. All claims must be managed on a strictly individual basis.

17. Acceptable Use Policy (AUP)
The user agrees not to use the platform for:
- Unlawful or fraudulent activities
- Sending threatening, abusive, or defamatory content
- Infringing third-party intellectual property rights
- Distributing malicious software or harmful content
- Attempting unauthorized access to other users' systems or accounts
- Actions that may damage, overload, or impair the platform's infrastructure
Failure to comply with this policy may result in immediate account suspension or termination without refund.
18. Content Takedown & Notice Procedure (LSSI-CE / Digital Services Act - DSA)
OFFITIA SL acts as a neutral and passive hosting service provider pursuant to Article 16 of Spanish Law 34/2002 (LSSI-CE), EU Regulation 2022/2065 (Digital Services Act - DSA), and standard Safe Harbor exemption principles. The user is solely responsible for content, logos, receipts, or documents uploaded or issued through the platform.
If you hold intellectual or industrial property rights and believe that content hosted on OFFITIA infringes your rights, you can send a formal notice to our Designated IP Agent at: support@offitia.io (Attn: Legal Department / Designated IP Agent).
Upon receipt of a valid notice, OFFITIA will immediately remove or disable access to the content in accordance with applicable European law, without assuming liability.
19. Invoicing Systems Liability (Veri*Factu) and Third-Party Components
OFFITIA guarantees that its computer system complies with the statutory requirements of integrity, conservation, accessibility, readability, traceability, and inalterability of invoice records pursuant to Royal Decree 1007/2023 and Order HAC/1177/2024.
The User acknowledges and agrees that cryptographic chaining and automated AEAT gateway transmission are delivered through the integration of the third-party software component VeriFacti.com (Verifacti SL). OFFITIA has audited and verified the Responsible Declaration of this provider, but assumes no liability for service interruptions solely attributable to the external API, provided OFFITIA exercised due diligence in provider selection and monitoring.
Acceptance of these terms provides continuous access to our Veri*Factu Responsible Declaration.
20. Binding Data Processing Agreement (DPA)
Subscribing to or using any OFFITIA service constitutes express and binding acceptance of the Data Processing Agreement (DPA), governing OFFITIA's obligations as a data processor pursuant to Article 28 of the GDPR and Spanish LOPDGDD.
